1. Acceptance of our Terms.

This website is provided and operated by Hemp the Climate z.s. (“Hemp the Climate”, "we", “us”, “our” and “ours”), incorporated under the laws of the Czech Republic, with company number (IČO): 08881901 and registered in the public register of associations kept by the Municipal Court in Hradec Králové, Czech Republic under the file number L 13335.

These terms and conditions (the "Terms") explain how you may use this website www.hemptheclimate.com (the "Website") which is provided to you free of charge and what are your rights as a member of Hemp the Climate if you wish to become one.

You should read these Terms carefully before using the Website and/or before becoming a member of Hemp the Climate.

All contents of this Website are subject to these Terms. By accessing or using the Website or otherwise indicating your consent, you agree to be bound by these Terms and the documents referred to in them. Additionally, by filling up the membership form, you accept and agree to be bound by the Membership section of these Terms.

If you do not agree to these Terms, please refrain from using our Website and/or becoming our Member.

These Terms refer to the following additional policies, which also apply to your use of our Website and/or becoming our Member:

  • Our Privacy Policy, which sets out the terms on which we process your personal data that you provide to us.
  • Our Cookies Policy, which sets out information about the cookies on our Website.

Members should refer to our Membership section of these Terms for rules on your membership.

3. Changes of the Terms.

We may revise these terms of use at any time by amending this page. Our updated Terms will be displayed on the Website and by continuing to use and access the Website following such changes, you agree to be bound by any variation made by us. It is your responsibility to check these Terms from time to time to verify such variations.

Any modifications to the Membership section to these Terms shall be made in accordance to the Statutes of Hemp the Climate.

4. Using the Website.

You agree that you are solely responsible for all costs and expenses you may incur in relation to your use of the Website.

You are solely responsible for compliance with any local laws that may be applicable to you in relation to the use of the Website.

We may prevent or suspend your access to the Site if you do not comply with any part of these Terms, the documents referred to in them or any applicable law.

5. Intellectual property rights.

All intellectual property rights in to and in respect of the content, information and materials appearing on the Website, including but not limited to any text, images, video, audio or other multimedia content, or other information or material on the Website ("Content"), are owned by us or our licensors.

"Intellectual Property Rights" means, without limitation, worldwide patents, trademarks, design rights, copyrights, domain names, trade secrets and confidential information, any other analogous and other proprietary rights of any kind whether or not they are registered or unregistered (anywhere in the world).

We reserve all of our Intellectual Property Rights in connection with the Website and these Terms. You may not use any part of the Content on our Website site for commercial purposes without obtaining a licence to do so from us. All other use and copying of any of the Content is prohibited without our prior written consent.

You may obtain a copy of any page, you may download extracts of our Website exclusively for your personal private use, and you may draw the attention of others within your organisation to the Content. However, you must not modify any Content you have printed or downloaded in any way. The use of any graphic material, including photographs and images, separately from the accompanying Content is strictly prohibited including for personal private use.

We do not warrant that provision of the Website will be uninterrupted or error free or that it will be free of viruses or bugs.

We may suspend or terminate operation of the Site at any time.

Except for any legal responsibility that we cannot exclude at law, you agree that your use of the Website is entirely at your own risk and we accept no responsibility, and hereby exclude to the fullest extent permissible by law, liability for any loss or damages (direct damage such as emerging damage and loss of profits, for instance, lost profits, loss of programs or other data or otherwise), whether brought in contract or tort, which may be caused to you, your computer equipment or to any third party arising out of or in connection with your use of this Website.

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.

9. Membership Section - Statutes of Hemp the Climate.

This section includes the membership related section of the statutes of the association Hemp the Climate, z.s. (the "Statutes"). If you wish to obtain the full version of the Statutes (in English or in Czech language), please contact us at the email address info@hemptheclimate.com.

Any matter not provided for by the present Statutes will be regulated in accordance with the provisions of the law of the Czech Republic. The Statutes are based on the Czech language version of the Statutes registered at the competent court. The following text in the English language is made for reference purposes only and if there are any discrepancies between the Czech and English versions, the Czech version shall prevail.

Purpose of Hemp the Climate

Our main activities are:

  1. to promote and promote regenerative and organic farming practices;
  2. to support and educate farmers and land owners;
  3. to seek mutually beneficial cooperation, in particular with agricultural and industrial actors, universities and organizations dealing with climate change;
  4. to cooperate with other similar organizations; and
  5. to organize social events for our Members or other interested parties.

Admission of Members

A member of the Hemp the Climate may be a legal entity or an individual over 18 years of age after filing an application. The condition of a Member will be acquired upon a decision of the President of Hemp the Climate and shall become effective on the date of his decision.

The decision to accept or not to be a member falls within the exclusive competence of the President. The President shall notify the applicant of his decision without undue delay by e-mail to the contact address given by the applicant in the application form or, at a later date, to the contact address specified by the applicant. Reasons need not be given for the decision.

Rights and Duties of Members

  1. A Member is entitled to:
    1. take part on the General Assembly and participate in its decision-making by voting;
    2. submit proposals, suggestions and comments to the Bodies of Hemp the Climate.

  2. A Member is obliged to:
    1. comply with respective law, the Statutes and the decisions of the Bodies of Hemp the Climate;
    2. defend the interests of Hemp the Climate, respect internal agreements, act in the manner that may not jeopardize the activities of the association;
    3. spread a good name of the association;
    4. pay the membership contribution in the amount undertaken by the Member.

Termination of Membership

  1. The membership terminates by:
    1. the delivery of the written notice of withdrawal from Hemp the Climate addressed to the President of the association by mail or by electronic means;
    2. the death of the Member;
    3. the winding up of the association;
    4. the President's decision to expel a Member in the event that the Member does not pay membership contributions, does not fulfil the duties of the Member, violates the Statutes, or for other serious reasons.

  2. The President's decision to expel a Member is sent by e-mail to the contact address given by the Member in the application form or, at a later date, to the contact address specified by the Member; the Member is entitled to ask the Presidium of the association to review the President's decision to expel.

Organization of the association

Hemp the Climate has the following bodies:

  1. the General Assembly;
  2. the President; and
  3. the Presidium.

General Assembly

  1. The General Meeting shall have the following powers:
    1. election of the bodies of the General Assembly,
    2. submitting proposals, suggestions and comments to the other Bodies of the Association.
  2. The President shall convene the General Assembly in case of need. The invitation is sent to the Members by e-mail to the contact address given by the Member in the application form or, at a later date, to the contact address specified by the Member; at least 10 days before the meeting. The draft agenda of the General Assembly is the part of the invitation.
  3. The General Assembly has a quorum if a majority of all Members of the Association attends its meetings, even per rollam by means of a conference call or video call.
  4. The General Assembly decides by a majority of the Members present. Each member has one vote in the decision; Members' votes are equal.
  5. The General Assembly elects the bodies of the General Assembly from among its members, i.e. the Chairman of the General Assembly, the minutes clerk and two verifiers of the minutes. Any matter not included on the agenda can be decided only with the consent of two thirds of the Members.
  6. The minutes are taken by the minutes clerk on the decisions taken at the General Assembly, which are verified by two verifiers.
  7. The provisions of §248 to §257 of the Act no. 89/2012 Coll. (Czech Civil Code) shall not apply.


  1. The president is the statutory body of Hemp the Climate. It acts independently on behalf of Hemp the Climate.
  2. The President shall have further the following powers:
    1. to represent the association;
    2. to manage the activities of the association;
    3. to convene the General Assembly;
    4. to convene the Presidium meeting;
    5. to approve the financial statement;
    6. to decide on amendments to the Statements;
    7. to decide on basic issues of the association's development concept;
    8. to decide on all property issues of the association;
    9. to decide on the Member admission and expelling;
    10. to decide on the Member contributions;
    11. to authorize the Vice-President, on the basis of a power of attorney, to exercise some of his powers while consequently informing the rest of the Presidium.
  3. The President's term of office is five years. Before the expiry of his term of office, the President shall appoint a new President.


  1. The Presidium is the supreme body of the association.
  2. The Presidium members are President and two Vice-Presidents.
  3. The Presidium shall have the following powers:
    1. to decide unanimously on the rights and duties of Members of the association;
    2. to decide unanimously on the merger and division of the association;
    3. to decide on the property settlement in the case of winding up of the association;
    4. to appoint and dismiss unanimously the Presidium members;
    5. to review the President's decision to expel;
    6. any further powers entrusted by the Articles of Association or any other powers reserved unanimously.
  4. The Presidium's term of office is five years. The Presidium members can perform the function repeatedly.
  5. Before the expiry of its term of office, the Presidium shall appoint a new Presidium out of the Members of the Association.
  6. In the case that one of the Presidium members terminates the activity, dies or is dismissed during the term of office, the remaining two members are required to appoint a new member without undue delay.
  7. The President shall convene the Presidium meeting at least once a year. The President chairs the Presidium meeting. Every Presidium member has one vote. Presidium has a quorum if a majority of Presidium members attends its meetings, even per rollam by means of a conference call or video call.
  8. Presidium is responsible for the financial management and accountancy of the association.

10. Jurisdiction and Disputes.

These Terms are governed by the laws of the Czech Republic, without regard to the conflict of laws provisions thereof. The exclusive jurisdiction and venue of any action with respect to these Terms shall be the competent courts of Prague.
